Nscale, a two-year-old British AI infrastructure company, is reportedly in advanced talks to raise an additional $3.5 billion in financing ahead of a potential initial public offering as early as this month. According to Bloomberg, the company is looking to sell $1.5 billion in convertible notes to a group of investors while simultaneously seeking $2 billion in financing from Nvidia. This move positions Nscale to secure the capital necessary to fulfill its significant infrastructure obligations before hitting the public markets.

The fundraising effort follows a rapid series of capital injections that have established Nscale as a major player in the European AI landscape. In March, the company closed a $1.1 billion Series B round led by investment fund Aker, a figure it described as the largest Series B in European history. Nvidia, which is now returning to the cap table as a financing partner, also participated in that round. Prior to that, Nscale raised $155 million in a Series A round in December 2024.

The urgency behind the pre-IPO raise is driven by the sheer scale of Nscale’s recent commercial commitments. The company recently signed a large deal with Anthropic worth approximately $45 billion. Reports indicate that Nscale has been telling potential investors that it has approximately $103 billion in revenue following this deal. However, this figure represents a projection based on signed customer leases rather than current sales, highlighting the capital-intensive nature of AI infrastructure where revenue recognition is often tied to long-term compute leases and hardware deployment.

For developers and enterprises relying on AI compute, Nscale’s financial trajectory underscores the shifting dynamics of the AI infrastructure market. With compute becoming a competitive currency, the ability to secure massive upfront financing is critical for providers looking to lock in long-term contracts with major model developers. Nscale’s potential IPO and subsequent capital raise will likely set a benchmark for how AI infrastructure startups are valued and financed in the current era of AI enthusiasm.
